This template isn’t legal advice, and it isn’t a substitute for a lawyer who knows your country’s law. For large fees or long licenses, have one review it.

How to fill it in

  • Deliverables. Count everything: videos, hooks per video, raw footage. “3 videos with 2 hooks each” is 6 versions to test in ads.
  • Revisions. Cap the rounds and the days to ask. Unlimited revisions are the most common cause of a deal going sour.
  • Usage license. The heart of a UGC deal. List the channels, the dates and the territory. Paid ads, longer terms and ads from the creator’s account each cost more; price them in section 3, not later.
  • Ownership. The template has the creator keep ownership and license the videos to you, which is how most UGC deals work. If you want to own the videos outright, that’s a different clause and a bigger fee; ask a lawyer to write it.
  • Disclosure. Paid content needs a clear ad label when it’s posted on the creator’s account, and the connection should be clear in your ads. See our disclosure guide.
  • Music. Trending sounds on TikTok or Instagram often aren’t licensed for ads. Ask for files without music, or with music you’ve licensed.

What to agree before you send it

  1. 01

    Price it

Work out the fee from the base rate and the add-ons with the UGC rate calculator, so the creator sees the same numbers you do.

  2. 02

    Write the brief

What the video is for, what it must show and what to avoid. Our influencer brief template has a UGC version.

  3. 03

    Send both together

The brief explains the work; the agreement says what it costs and what you can do with it.

Licensing a video a creator already posted

For a gifted creator’s post that did well on its own, you don’t need the whole agreement: sections 4 to 7 are enough, with the fee. Our guide to UGC usage rights has an email to ask with.

Pozto finds the posts your gifted and paid creators make on TikTok, Instagram Reels and YouTube Shorts, tagged or not, and from Starter shows each one’s views, so you can see which are worth licensing. Contracts and payments stay with you. Start free with up to 10 creators.

Questions

What should a UGC contract include?

The deliverables, deadlines and revision rounds, the fee and when it’s paid, and a usage license that names the channels, the dates and the territory. Add ads from the creator’s account, exclusivity and disclosure if they apply.

Who owns UGC after I pay for it?

The creator, unless the contract transfers ownership. Most UGC deals license the videos to the brand for named channels and a set time instead.

Do I need a contract for gifted UGC?

Not to send a gift. But if you want to use a gifted creator’s video in your ads or on your site, get their permission in writing, with the channels and how long.
